- SEC Form 8-K Item 3.01: a company's own disclosure that it received a notice or determination from its exchange about failing (or risking failing) a continued-listing standard — minimum bid price, market cap, or a late periodic filing.
- How is distress separated from routine?
- By reading the filing's own text, not just the item code. Genuine deficiency notices (minimum bid price, stockholders'-equity shortfall, late 10-K/10-Q) are tagged distress. Voluntary exchange transfers, called/redeemed preferred units, and merger-related delistings are tagged routine — the same boilerplate Item 3.01 heading covers both, so a keyword-only match misclassifies them.
